Assignment Terms
1. Before the commencement of any assignment, PWL require that a signed Order Agreement be in place. The Order Agreement (based on information provided by the client) will outline the work required, delivery method, agreed timescale, price quotation (including materials and/or incurred costs where known) and payment terms. A confidentiality clause forms part of the Order Agreement. NOTE : The Order Agreement is required in addition to any company purchase order or authority letter provided by the client. 2. Where an assignment is accepted from an individual or company outside of the UK, it is on the strict understanding that the client abides by our payment terms. It should also be noted that PWL is not a multi-lingual company and, as such, the outcome of any such assignment must, by necessity, be in English. 3. If, on receipt of the assignment, it is found to differ significantly from the information originally provided, PWL reserve the right, after consultation with the client, to submit an amended quotation. 4. Receipt and delivery of work can be by post, courier, fax, hard-copy, email attachment, 3.5” floppy disk or CD-ROM. PWL regret that they cannot allow personal visits to their premises. Whilst every effort is made to ensure that all incoming and outgoing files, emails, disks and CDs are scanned for viruses (using continually updated McAfee Anti-Virus and Firewall Protection software) no guarantee can be provided. It remains the ultimate responsibility of the client to ensure that they have their own computer virus protection in place. PWL reserves the right to delete/return without opening any file, disk or email attachment which does not have an accompanying message. 5. All original materials sent to PWL remain the property of the client and will be returned to the client on completion of the assignment unless instructed otherwise. Postal or courier costs incurred by PWL when returning materials/assignments are to be borne by the client. Any information required to be held by PWL on behalf of a client will be kept in accordance with the Data Protection Act. 6. It is the client’s ultimate responsibility to ensure that material provided does not contravene any copyright, plagiarism or Data Protection laws. PWL will not be held liable for any contravention and reserve the right to refuse any assignment believed to be illegal or offensive in any way. 7. PWL will not be held liable for the misuse of any completed assignment after despatch to the client. The sole responsibility for its use lies with the client at all times. 8. All work is proof-read and checked for errors prior to despatch to the client. However, except for those services where a final proof is sent for checking and authorisation before completion, any errors found after despatch will be corrected free of charge if returned to PWL within 48 hours or, in the case of an assignment over 3,000 words, within 7 days. The ultimate responsibility for the checking of completed assignments lies with the client and PWL Virtual Secretarial Services is not accountable for any errors after the expiration of the timescales stated. 9. Where a contract is held, 14 days written notice to terminate must be given by either party. 10. Normal working hours are 08.00—18.00 Monday to Friday and assignments are generally processed within 48-72 hours unless otherwise agreed. A 25% surcharge will be levied on any assignment required to meet an urgent deadline or involving evening or weekend work. A 50% surcharge will apply to any work required over a Bank Holiday period.
Payment Terms
1. All prices are currently exclusive of VAT. 2. Payment (in GB£ sterling) can be made by BACS or by cheque (made payable to PWL Secretarial Services). For those clients wishing to use an online payment service, such as NOCHEK or PayPal, please contact PWL.. 3. Any bank transfer/exchange charges occurring from overseas payments are to be borne by the client.. 4. An invoice will be submitted on the completion of an assignment and payment is to be received no later than 14 days from the date of the invoice, except in the cases of overseas assignments where immediate settlement is required upon satisfactory completion of the work undertaken. 5. For individuals and one-off assignments, a deposit of 40% of the quoted price is required prior to commencement. An invoice for the balance will be submitted on completion and payment is to be received no later than 14 days from the date of that invoice. 6. Where PWL are utilised on a retained basis, an invoice will be sent to the client approximately two weeks prior to each calendar month end. Invoices must be settled in full prior to the commencement of work. 7. Where an hourly rate is quoted, a minimum charge, equal to 30 minutes, will be applied in all cases. Charging will then be in 5 minute or part 5 minute periods. 8. PWL reserve the right to charge interest at 3% per month on any overdue amounts. 9. The client will be responsible for reimbursing PWL with any bank charges resulting from a returned cheque. 10. All materials will be itemised and charged at cost. 11. All additional costs incurred in relation to an assignment will be invoiced and recharged to the client as and when they arise and are subject to immediate settlement unless otherwise agreed prior to the assignment starting — these costs include telephone calls, faxing, booking/reservation deposits/cancellation fees, travel costs, couriers etc. NOTE—in the case of bulk mailings—postage costs must be paid in advance by the client. For large bulk emailing/faxing, a deposit of 50% of the cost will be levied and is payable before commencement of the assignment. |
